Terms & Conditions

Last updated: 9 April 2026

These Terms & Conditions (“Terms”) govern your use of the SMM CORP website and, where applicable, your engagement with services provided by SMM CORP PTY LTD (“SMM CORP”, “we”, “us” or “our”).

By accessing our website, submitting an enquiry, engaging our services or otherwise dealing with SMM CORP, you agree to these Terms.

1. About SMM CORP

SMM CORP provides professional business services including accounting, bookkeeping, payroll administration, financial reporting, compliance assistance, auditing support, operational logistics, verification and related administrative services.

We may also provide specialised support to charities, not-for-profit organisations, humanitarian organisations and businesses operating across multiple jurisdictions.

The precise scope of services provided to a client will depend on the relevant engagement, proposal, agreement or written instructions accepted by SMM CORP.

2. Website Information

Information published on this website is provided for general information only.

Nothing on this website should be treated as personalised accounting, taxation, financial, legal or regulatory advice unless SMM CORP has specifically agreed in writing to provide such advice as part of a professional engagement.

You should obtain advice appropriate to your individual circumstances before making decisions based on general information contained on this website.

3. Engagement of Our Services

Submitting an enquiry through our website does not automatically create a professional engagement or client relationship.

A client relationship begins when SMM CORP accepts an engagement, whether through an engagement letter, service agreement, proposal, written confirmation or other arrangement accepted by the parties.

Additional terms may apply to particular services.

Where an engagement agreement or other specific written agreement conflicts with these general Terms, the specific agreement will apply to the extent of the inconsistency.

4. Client Responsibilities

Clients are responsible for providing SMM CORP with accurate, complete and timely information reasonably required to perform the agreed services.

This may include:

  • Accounting and financial records.

  • Bank and transaction information.

  • Payroll information.

  • Employee and contractor records.

  • Receipts and invoices.

  • Identification and verification documents.

  • Supplier or field-worker information.

  • Supporting evidence and documentation.

  • Information relating to projects or operations.

  • Other records reasonably necessary for us to complete an engagement.

SMM CORP may rely on information supplied by a client unless we have specifically agreed to independently verify that information.

Clients remain responsible for reviewing information provided to us and notifying us promptly if information is inaccurate or incomplete.

5. Accounting and Bookkeeping Services

Where SMM CORP provides accounting, bookkeeping, payroll, reporting or related services, those services will be based on the information and records made available to us.

Unless expressly included within our engagement, our work does not constitute an independent audit or guarantee that fraud, errors, irregularities or unlawful conduct will be identified.

Responsibility for the management, operation and financial decisions of a client's organisation remains with the client.

6. Compliance and Verification Services

SMM CORP may assist clients with compliance procedures, due diligence, contractor or worker verification, document collection, record keeping, background checks and other verification processes.

These services are intended to help clients manage operational risk.

No verification or due-diligence process can eliminate all risk or guarantee the future conduct, identity, reliability or performance of a person, supplier, contractor or organisation.

Clients remain responsible for their final decisions regarding persons or organisations with whom they choose to work.

7. International and Humanitarian Operations

Certain clients may operate internationally or undertake humanitarian, charitable or not-for-profit activities.

SMM CORP may assist such clients with financial administration, payroll, documentation, receipts, operational verification, contractor management, evidence collection or other agreed support.

International operations may be affected by circumstances outside SMM CORP's reasonable control, including:

  • Local laws and regulations.

  • Banking restrictions.

  • Sanctions or compliance requirements.

  • Currency restrictions.

  • Telecommunications outages.

  • Government actions.

  • Security conditions.

  • Conflict or civil unrest.

  • Transportation disruptions.

  • Natural disasters.

  • Availability of local workers or suppliers.

  • Delays in obtaining documentation or evidence.

SMM CORP does not guarantee that an international activity or project can be completed within a particular timeframe unless expressly agreed otherwise in writing.

8. Client Funds and Payments

Where SMM CORP is authorised to administer payments, payroll, contractor payments or other financial transactions on behalf of a client, those transactions will be performed in accordance with the agreed engagement and information supplied by the client.

SMM CORP may delay or refuse to process a transaction where additional verification is reasonably required or where we believe processing the transaction could breach applicable law, sanctions, financial regulations, contractual obligations or compliance requirements.

9. Fees

Fees for professional services will be communicated through a proposal, quotation, invoice, engagement agreement or other written arrangement.

Unless otherwise agreed, clients are responsible for paying invoices by the stated due date.

Additional work outside the agreed scope may result in additional fees.

SMM CORP may suspend services where invoices remain unpaid or where information necessary to perform the services has not been provided.

10. Third-Party Services

SMM CORP may use or interact with third-party providers when delivering services, including banks, payment processors, accounting platforms, payroll systems, cloud providers, verification providers and professional advisers.

SMM CORP is not responsible for outages, delays, errors, policy changes or failures caused solely by third-party systems or providers outside our reasonable control.

11. No Guarantee of Outcome

Professional, compliance and operational services involve circumstances that may be outside our control.

Unless expressly stated in writing, SMM CORP does not guarantee any particular financial, regulatory, taxation, operational, commercial or project outcome.

Any examples, case studies, statistics or previous results presented on our website do not guarantee equivalent results for another client.

12. Intellectual Property

Unless otherwise stated, the website and its content—including text, branding, graphics, designs, systems, documents and other materials—are owned by or licensed to SMM CORP.

You may view and use the website for legitimate personal or business purposes.

You must not reproduce, distribute, sell, modify or commercially exploit SMM CORP content without permission, except where permitted by law.

13. Confidentiality

SMM CORP recognises that clients may provide confidential business, financial and operational information.

We will take reasonable measures to maintain the confidentiality of information entrusted to us, subject to disclosures required to perform our services or comply with applicable laws and professional obligations.

Clients must also keep confidential any proprietary systems, pricing, documentation or other confidential information belonging to SMM CORP.

14. Privacy

Personal information is handled in accordance with our Privacy Policy and applicable Australian privacy requirements.

By using our website or engaging our services, you acknowledge that certain personal information may need to be collected and processed in order for us to provide the requested services.

15. Limitation of Liability

To the maximum extent permitted by law, SMM CORP will not be liable for indirect, incidental, special or consequential loss arising from use of our website or services.

SMM CORP is not responsible for loss resulting from inaccurate, incomplete, misleading or delayed information supplied by a client or third party.

Nothing in these Terms excludes, restricts or modifies any right, guarantee, warranty or remedy that cannot lawfully be excluded under applicable Australian law, including the Australian Consumer Law where it applies.

16. Indemnity

To the extent permitted by law, you agree to indemnify SMM CORP against loss, liability, cost or expense arising from:

  • Information or instructions supplied by you that are materially false, misleading or incomplete.

  • Your unlawful use of our services.

  • Your breach of these Terms or an applicable engagement agreement.

  • Conduct undertaken by you contrary to our written advice or instructions.

This provision does not apply to the extent that the relevant loss was caused by SMM CORP's own negligence, unlawful conduct or breach of applicable obligations.

17. Suspension or Termination of Services

SMM CORP may suspend or terminate an engagement where reasonably necessary, including where:

  • Fees remain unpaid.

  • Required information is repeatedly not provided.

  • Continuing the engagement may breach applicable law or regulatory requirements.

  • There are reasonable concerns regarding fraud, sanctions, money laundering or unlawful activity.

  • A client requests that SMM CORP undertake conduct we reasonably believe to be unlawful or improper.

  • The professional relationship has otherwise become impracticable.

Any outstanding fees and obligations accrued before termination remain payable.

18. Website Availability

We aim to maintain an accurate and accessible website but do not guarantee that the website will always be available, uninterrupted, secure or free from errors.

We may modify, suspend or discontinue parts of the website without notice.

19. External Links

Our website may contain links to third-party websites.

These links are provided for convenience and do not necessarily constitute endorsement of the third party or its services.

SMM CORP is not responsible for the content, availability, security or practices of external websites.

20. Governing Law

These Terms are governed by the laws applicable in Australia and, where relevant, the State or Territory in which SMM CORP is registered or operates.

The parties submit to the jurisdiction of the courts and tribunals having jurisdiction under applicable Australian law.

21. Changes to These Terms

SMM CORP may update these Terms periodically to reflect changes to our services, business practices or legal obligations.

The latest version will be published on our website together with the date of the most recent update.

Changes will apply prospectively and will not retrospectively alter an existing signed engagement agreement unless agreed between the parties or otherwise permitted by law.
